These Terms and Conditions govern your use of www.winisc-chain.com (the “Website”) and, together with the applicable quotation, pro forma invoice, order confirmation and any written agreement, the supply of products and services by WINISC PTE. LTD. (“WINISC”, “we”, “us” or “our”). By using the Website, submitting a request for quotation or placing an order, you acknowledge that you have read and accepted these Terms.

If a quotation, order confirmation or signed agreement contains terms that conflict with these Terms, the order-specific document will take priority for that transaction.

2. Website information and permitted use

We take reasonable care to keep product descriptions, part numbers, images, technical information and availability accurate. Industrial products may, however, be revised or discontinued by a manufacturer without notice. Website content is provided for general information and does not replace the manufacturer’s current documentation, an engineering assessment or the specifications stated in our quotation.

You are responsible for confirming the full manufacturer part number, revision, firmware, configuration, voltage, certification, compatibility and intended application before ordering. Please contact us before payment if any requirement is unclear.

You must not misuse the Website, interfere with its operation, attempt unauthorised access, introduce malicious code, scrape it in a manner that disrupts our services, or use its content for unlawful or fraudulent purposes.

3. Requests for quotation

A request for quotation is not an order and does not oblige either party to proceed. A quotation normally identifies the product, quantity, price, currency, condition, estimated lead time, warranty, payment terms and shipping basis. Unless the quotation states otherwise, availability and lead time are estimates and remain subject to confirmation when the order is accepted.

Quotations are valid only for the period stated on them. Prices and availability may change after expiry because of exchange rates, manufacturer pricing, freight costs or changes in supply.

4. Orders and order acceptance

Your purchase order or payment constitutes an offer to buy. An order becomes binding when WINISC issues an order confirmation or otherwise confirms acceptance in writing. We may request additional information, reject an order, limit quantities or cancel an unfulfilled order where there is a pricing or description error, suspected fraud, export restriction, supply failure or other reasonable compliance concern. If we cancel an order after receiving payment, we will refund the amount received for the cancelled portion, subject to any lawful deduction agreed with you.

Please review every order confirmation promptly. You must notify us immediately if the part number, quantity, delivery address, billing information or other details are incorrect.

5. Product condition, authenticity and manufacturer references

The product condition supplied will be the condition stated in our quotation or order confirmation. Unless otherwise stated, WINISC supplies new products. If an item is surplus, open-box, refurbished, repaired, used, without original packaging, or from an earlier hardware or firmware revision, this should be identified in the quotation.

Products are sourced through our international supply network. Manufacturer names, trademarks, product photographs and part numbers are used only to identify the products. Unless expressly stated in writing, their use does not mean that WINISC is affiliated with, endorsed by or an authorised distributor of a particular manufacturer.

Packaging design, labels and documentation may vary by production date or destination market. Where traceability, a certificate of conformity, a specific country of origin or manufacturer-authorised distribution is mandatory, you must state that requirement before ordering so that we can confirm whether it is available.

6. Prices, taxes and payment

Prices are stated in the currency shown on the quotation and exclude taxes, duties, customs charges, insurance, bank charges and freight unless expressly included. The customer is responsible for intermediary bank fees and for ensuring that WINISC receives the full invoiced amount.

Available payment methods may include bank transfer, PayPal, credit or debit card and XTransfer, subject to the quotation and payment-provider availability. Orders are normally processed after cleared payment unless written credit terms have been approved.

To reduce payment fraud, rely only on bank details shown on an authentic WINISC quotation or invoice. We do not accept responsibility for payment sent to an account supplied through an impersonation or compromised email. If payment instructions appear to change, verify them by calling our published telephone number before transferring funds.

7. Shipping, customs and delivery

Shipping options, estimated transit time, cost and the agreed delivery basis are shown on the quotation or order confirmation. We commonly use international carriers such as DHL, FedEx, UPS and TNT, and customers may request shipment using their own approved carrier account.

Delivery dates are estimates unless expressly guaranteed in writing. Carrier delays, customs inspections, severe weather, remote-area service and other events outside our reasonable control may affect transit time. Import licences, permits, duties, VAT/GST, brokerage fees and destination-country taxes are the customer’s responsibility unless the quotation expressly states otherwise.

The applicable Incoterm, transfer of risk, insurance and freight responsibility will be those stated in the quotation or order confirmation. Further information is available in our Shipping Methods.

8. Inspection, damage and delivery discrepancies

Please inspect the outer packaging when the shipment arrives and, where possible, record visible damage or missing parcels with the carrier before accepting delivery. Keep the packaging, labels and shipping documents. Report loss, transit damage, an incorrect item or a quantity discrepancy to info@winisc-chain.com as soon as possible and include the order number, photographs and a description of the issue.

Failure to report promptly may affect our ability to make a claim against the carrier, but it does not limit any rights that cannot lawfully be excluded.

9. Cancellations and changes

An accepted order may be changed or cancelled only with our written approval. Cancellation may not be available for specially sourced, configured, licensed, made-to-order or non-returnable products, or after an item has been dispatched. Where cancellation is approved, the customer may be responsible for costs already incurred, including supplier cancellation charges, freight, bank fees and currency losses.

10. Returns

Do not return any product without a Return Material Authorisation (“RMA”) from WINISC. To request an RMA, contact us with the order number, part number, serial number where applicable, reason for return and supporting photographs or test information.

WINISC currently provides a 30-day return request period for eligible products. Unless otherwise agreed in writing, returns are authorised where an item was faulty when received, damaged in transit or supplied incorrectly. Products must be returned in the condition received, with original packaging, labels, accessories and documentation.

Software, activated licences, specially manufactured or configured products, and items damaged through incorrect installation, storage, handling, modification or use are not normally returnable. Return approval, return shipping responsibility, inspection and any refund or replacement will depend on the reason for return and the applicable quotation. Nothing in this section excludes rights that cannot be excluded under applicable law.

11. Warranty

Unless a quotation states otherwise, products supplied by WINISC include a 12-month return-to-base warranty from the date of delivery. The warranty covers a verified defect arising under normal use during the warranty period. Our obligation is, at our option and subject to inspection, to repair the product, replace it with the same or an equivalent product, or refund the price paid for the defective product.

The warranty does not cover normal wear, consumable items, batteries unless expressly included, cosmetic packaging damage, accident, misuse, incorrect wiring or installation, contamination, unsuitable environmental conditions, unauthorised repair or modification, improper storage, power disturbance, failure to follow manufacturer instructions, or compatibility issues not confirmed by us in writing.

Customers are responsible for backing up programs, parameters and data before returning equipment. WINISC is not responsible for loss of programs or data during testing, repair or replacement.

12. Export controls and lawful use

Products may be subject to Singapore, United Nations, United States, European Union or other applicable export-control, sanctions and import laws. You agree to provide accurate end-user, end-use and destination information when requested and not to export, re-export, transfer or use products in violation of applicable law. We may suspend or decline a transaction while conducting compliance checks.

13. Intellectual property

The Website’s original text, design, graphics, databases and other content are owned by or licensed to WINISC and are protected by applicable intellectual-property laws. You may view and print reasonable extracts for your internal procurement purposes, but may not reproduce, republish, sell or commercially exploit Website content without written permission.

14. Limitation of liability

To the maximum extent permitted by law, WINISC will not be liable for indirect, incidental, special or consequential loss, including loss of production, profits, contracts, data, goodwill or business opportunity. WINISC’s aggregate liability arising from a product order will not exceed the amount paid to WINISC for the product giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.

15. Force majeure

WINISC is not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemic, war, terrorism, civil disturbance, government action, sanctions, export restrictions, labour disruption, cyber incident, transport interruption, carrier failure, fire, flood, utility failure or supplier shortage. We will take reasonable steps to notify you and reduce the effect of the event.

17. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the laws of Singapore. Subject to any dispute-resolution procedure agreed in an order-specific document, the courts of Singapore will have exclusive jurisdiction, except where applicable law requires otherwise.

18. Changes to these Terms

We may update these Terms to reflect changes in our services, operations or legal obligations. The current version and its “Last updated” date will be published on this page. Changes do not retroactively alter an accepted order unless agreed in writing.
